Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the NABL platform and website located at nabl.ai (collectively, the “Service”), operated by NABL (“NABL,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1.Description of the Service
NABL is an internal agency platform that automates marketing operations for advertising agencies and their clients. The platform provides:
- OAuth account connections — secure integrations with Google Ads, Meta Ads (Facebook/Instagram), GoHighLevel CRM, and linked analytics platforms on behalf of agency clients.
- CRM lead webhook processing — receiving and parsing lead data from connected CRM systems, including click IDs, UTM parameters, and audience signals for attribution purposes.
- Offline conversion uploads — automated upload of offline conversion events back to connected ad platforms to enable accurate ROAS measurement and smart bidding optimization.
Access to the platform is by invitation only and is limited to authorized agency users operating under a separate service agreement with NABL.
2.Eligibility & Access
To use the NABL platform, you must:
- Be at least 18 years of age.
- Be acting on behalf of an advertising agency that has entered into a service agreement with NABL.
- Have been granted access credentials by NABL.
Your access is personal and non-transferable. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at ryan@nabl.ai if you suspect unauthorized access to your account.
3.Authorized Use
You agree to use the Service only for lawful purposes and only as permitted by these Terms and any applicable service agreement. You agree not to:
- Use the Service for any purpose other than operating legitimate advertising campaigns on behalf of clients with proper authorization.
- Connect ad accounts or CRM systems for which you do not have explicit authority to act.
- Attempt to gain unauthorized access to any part of the Service, its infrastructure, or other users’ accounts.
- Reverse engineer, decompile, or attempt to extract source code from the platform.
- Upload or transmit malicious code, scripts, or data designed to disrupt, damage, or interfere with the Service.
- Violate any applicable law, regulation, or the developer policies of connected platforms (including Google’s and Meta’s developer terms).
- Misrepresent your identity, affiliation, or the purpose of any data you submit through the platform.
4.Third-Party Platform Policies
Use of NABL necessarily involves interacting with third-party platforms including Google Ads, Meta Ads, and GoHighLevel. Your use of those platforms through NABL is subject to their respective terms of service, developer policies, and privacy policies, including:
You represent and warrant that any data you submit to NABL for upload to third-party platforms was collected in compliance with those platforms’ policies and all applicable laws, including obtaining any necessary consents from end users.
5.Data & Privacy
Our handling of data in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the collection and use of data as described in that policy.
You retain ownership of all client data you submit through the Service. You grant NABL a limited, non-exclusive license to process that data solely for the purpose of providing the Service. NABL does not sell, share, or use client data for any purpose beyond performing the contracted service.
6.Intellectual Property
The NABL platform, including its software, user interface, trademarks, and documentation, is owned by NABL and protected by intellectual property laws. Nothing in these Terms grants you ownership of or a license to any NABL intellectual property beyond the right to use the Service as described herein.
You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our prior written consent.
7.Fees & Payment
Fees for access to the NABL platform are set forth in the applicable service agreement between your agency and NABL. All fees are non-refundable except as expressly stated in that agreement or required by applicable law. NABL reserves the right to modify pricing with reasonable notice to existing customers.
8.Term & Termination
These Terms remain in effect for as long as you access or use the Service. NABL may suspend or terminate your access at any time, with or without cause, including for:
- Violation of these Terms or the applicable service agreement.
- Non-payment of fees.
- Actions that expose NABL or its users to legal or reputational harm.
- Termination or expiration of the underlying service agreement.
You may terminate your account by contacting us at ryan@nabl.ai. Upon termination, your access credentials will be revoked and connected OAuth tokens will be invalidated.
9.Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NABL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR RESULTS WILL BE ACHIEVED FROM USE OF THE PLATFORM.
NABL is a tool that facilitates data transmission to third-party ad platforms. We do not guarantee outcomes such as ad performance, ROAS improvements, or bidding optimization results.
10.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NABL AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF NABL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL NABL’S TOTAL LIABILITY TO YOU EXCEED THE FEES PAID BY YOUR AGENCY TO NABL IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11.Indemnification
You agree to defend, indemnify, and hold harmless NABL and its officers, employees, and contractors from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service in violation of these Terms; (b) any data you submit to the Service; (c) your violation of any third-party rights or applicable law; or (d) your violation of any applicable ad platform developer policy.
12.Governing Law
These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction in your agency’s state of incorporation, as agreed in the applicable service agreement.
13.Changes to These Terms
We may update these Terms from time to time. We will notify agency account holders of material changes by email at least 14 days before they take effect. Continued use of the Service after updated Terms take effect constitutes acceptance of the changes. The “Effective date” at the top of this page reflects the most recent revision.
